Ambassador Agreement for Elite Signature Group Artwork

This Custom Artwork Dealer Agreement (the “Agreement”) is entered into as of _____________________, by and between Elite Signature Group, a division of The Warnock Effect (T.W.E.) specializing in bespoke and exclusive artwork, and [Distributor's Name/Company] (the “Authorized Dealer”). Elite Signature Group and the Authorized Dealer are collectively referred to herein as the “Parties.”

1. Scope of Agreement

This Agreement defines the terms and conditions under which the Authorized Dealer is granted the rights to market, request, and distribute custom artwork exclusively created by TWE Premier Design Studio, a distinguished business division of T.W.E., ensuring adherence to its high standards and reputation.

2. Custom Artwork Process

2.1 Order Placement

The Authorized Dealer shall submit a Custom Work Order Form detailing client specifications, including but not limited to size, style, theme, and additional preferences.

  • Each order requires a non-refundable initial deposit of $1,500 to initiate the consultation and design process.

2.2 Design Proofing

T.W.E. Premier Design Studio will provide digital proofs to the Authorized Dealer for review and feedback.

  • The Authorized Dealer may request up to three (3) revisions during this stage.

  • Additional revisions beyond the included two will incur a fee of $250 per revision.

2.3 Approval and Production

A subsequent payment of $1,500 is due upon approval of the final design proof.

  • Once approved, the design enters production, and no further changes to the artwork will be permitted.

3. Pricing and Payment Terms

3.1 Pricing

  • Custom artwork pricing begins at $5,000, subject to adjustment based on size, materials, and design complexity.

3.2 Payment Schedule

  • Initial Deposit: $1,500 (non-refundable).

  • Payment Upon Proof Approval: $1,500.

  • Final Payment: Remaining balance due upon completion and prior to delivery.

3.3 Non-Refundable Payments

Due to the bespoke nature of T.W.E. Premier Design Studio’s services, all payments made toward approved custom artwork are strictly non-refundable.

4. Exclusivity and Ownership

4.1 1-of-1 Guarantee

  • Each piece of custom artwork is a unique, one-of-a-kind creation. No reproductions will be made.

  • Elite Signature Group will provide a Certificate of Authenticity (COA) for every piece.

4.2 Copyright Ownership

  • . Elite Signature Group retains exclusive copyright ownership of all artwork.

  • The Authorized Dealer may market and sell the artwork but is strictly prohibited from reproducing or claiming ownership of any designs.

4.3 Portfolio Use

  • Elite Signature Group reserves the right to feature completed artwork in its portfolio and promotional materials unless the Authorized Dealer explicitly objects in writing.

5. Authorized Dealer Responsibilities

5.1 Client Communication

  • The Authorized Dealer will act as the primary liaison between the client and Elite Signature Group, ensuring accurate and timely communication of specifications and approvals.

5.2 Order Management

  • The Authorized Dealer is responsible for verifying the accuracy of all orders submitted and ensuring all payments are made on time.

5.3 Marketing and Promotion

  • The Authorized Dealer agrees to market Elite Signature Group’s custom artwork as a premium product, adhering strictly to branding guidelines and maintaining the division’s esteemed reputation.

6. Production and Delivery

6.1 Production Timeline

  • Production typically requires 6–8 weeks following final approval. Timelines may vary depending on artwork complexity.

6.2 Delivery

Elite Signature Group will ship completed artwork to either the Authorized Dealer or directly to the client as specified.

  • Shipping costs will be borne by the Authorized Dealer and included in the final invoice.

6.3 Damage and Claims

Elite Signature Group ensures all artwork is securely packaged.

  • Any transit-related damage must be reported within 48 hours of delivery for resolution.

7. Termination and Cancellation

7.1 Termination

  • Either Party may terminate this Agreement with 30 days’ written notice.

  • All ongoing orders must be fulfilled, and outstanding payments must be settled prior to termination.

7.2 Order Cancellations

  • Cancellations after design approval will require payment of the full invoice amount.

  • Cancellations before design approval will forfeit the initial deposit.

8. Limitation of Liability

Elite Signature Group is not liable for delays caused by circumstances beyond its control, including but not limited to supply chain disruptions, shipping delays, or force majeure events.

  • The Authorized Dealer is responsible for ensuring accuracy in client specifications and approvals.

9. Confidentiality

The Authorized Dealer agrees to keep all pricing, processes, and proprietary information confidential. Disclosure of such information is prohibited without prior written consent from Elite Signature Group.

10. Dispute Resolution

  • Any disputes under this Agreement will first be addressed through mediation.

  • If mediation fails, disputes will be resolved under the laws of North Carolina.

11. Entire Agreement

This Agreement constitutes the full understanding between the Parties regarding the sale and distribution of custom artwork. Amendments or modifications must be made in writing and signed by both Parties to be valid.
